This website is operated by Meow Safe. Throughout the site, the terms “we”, “us” and “our” refer to Meow Safe, which is owned and operated by The Trustee for BLK Trust (“Meow Safe”). Meow Safe offers this website, including all information, tools and Services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.

By visiting our site and/ or purchasing something from us, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/ or contributors of content.

Our store is hosted on Shopify Inc. They provide us with the online e-commerce platform that allows us to sell our products and Services to you. For the purposes of these Terms, the phrase “website” or “site” shall refer to the website located at https://meowsafe.com, as hosted on Shopify, or otherwise, and as made accessible via computer or other devices, including any accompanying mobile or device based applications which may be created for use with or access to the site or any aspect of the Service.

SECTION 1 - ONLINE STORE TERMS AND COMMUNICATIONS

a) By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this site.

b) We have made every effort to display as accurately as possible the colors and images of our products that appear at the store. We cannot guarantee that your computer monitor's display of any color will be accurate.

c) We reserve the right, but are not obligated, to limit the sales of our products or Services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or Services that we offer. 

d) All descriptions of products or product pricing are subject to change at anytime without notice, at the sole discretion of us. We reserve the right to discontinue any product at any time. Any offer for any product or Service made on this site is void where prohibited.

e) We do not warrant that the quality of any products, Services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected.

f) Product description. Prices, descriptions or availability of products are outlined in the respective sections of this website and are subject to change without notice.  While products on this website are presented with the greatest accuracy technically possible, representation on this website through any means (including, as the case may be, graphic material, images, colors, sounds) is for reference only and implies no warranty as to the characteristics of the purchased product. The characteristics of the chosen product will be outlined during the purchasing process. Users are informed during the purchasing process and before order submission, about any fees, taxes and costs (including, if any, delivery costs) that they will be charged. Prices on this website are displayed either exclusive or inclusive of any applicable fees, taxes and costs, depending on the section the user is browsing.

g) Payment Information. Information related to accepted payment methods are made available during the purchasing process. Some payment methods may only be available subject to additional conditions or fees. In such cases, related information can be found in the dedicated section of this website.  All payments are independently processed through third-party services. Therefore, this Website does not collect any payment information – such as credit card details – but only receives a notification once the payment has been successfully completed. If payment through the available methods fail or is refused by the payment service provider, Meow Safe shall be under no obligation to fulfil the purchase order. Any possible costs or fees resulting from the failed or refused payment shall be borne by the user.

SECTION 6 - ACCURACY OF BILLING AND ACCOUNT INFORMATION
a) We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.

b) You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

Meow Safe bears no liability for any costs, injuries to person or property, or damages of any kind, arising from the use or misuse of the products or services purchased on this website. All such products or services are purchased at the sole risk and discretion of the purchaser, and in purchasing the product or service, the purchaser acknowledges that such goods are purchased as is, while waiving all claims against Meow Safe for any damages arising out of the use or application of any product or service provided via this website. Once goods are purchased from this website, there are no refunds permitted, unless Meow Safe, in their sole and absolute discretion, deems that a refund is warranted to the purchaser.

b) Product Disclaimers. Please note, all Meow Safe products are to be used with caution around cats, pets or other animals, or in the presence of children. All such use of our products around cats, pets or animals, or in the presence of children, require direct adult supervision, and the products provided herein are not meant for unsupervised use with cats, pets, other animals, or children.  Meow Safe, their directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors are not liable for your use or purchase of any Meow Safe products, and any bodily harm or property damage which results from your use of such products, including any harm to cats, pets, children, or any third parties, up to and including death or permanent disability, or for any property damage, resulting from your purchase or use of such products. To the extent permitted by law, you agree that any purchase and use of our products is at your sole risk and discretion, and that you will not hold us, or any of our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors  liable for any injuries up to and including death or permanent disability, incurred by yourself, your cats, pets, children, or by any third parties, or for any property damage, resulting from your use of our products. Our products are designed to generally comply with US safety standards and laws, however, your use and purchase of such products is at your own risk and discretion. In the event that you notice any defects in  products ordered from Meow Safe, please contact us immediately at hello@meowsafe.com, or via the contact details listed in Section 20 of these Terms, and do not use the product purchased. If you make use of any defective product without informing us and returning the product to us, we are not liable for any consequences of such use, or any property damage or injuries to yourself, your pets, children or any third parties which result from such use. Please also note that we do not guarantee that the products purchased will function with 100% effectiveness, or prevent cats or other pets from breaking through the netting or other features of the product (if applicable). As such, you accept the product ‘as is’, accepting the risk that it may not function as intended or with complete effectiveness. 

c) Liability Limitation. In no case shall Meow Safe, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the Service or any products procured using the Service, or for any other claim related in any way to your use of the Service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the Service or any content (or product) posted, transmitted, or otherwise made available via the Service, even if advised of their possibility. To the extent permitted by law, the total liability of Meow Safe, and our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors, is limited to the price paid for any products purchased by the user or customer asserting a claim. In all cases, Meow Safe, and its directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors are only liable to the extent of their gross negligence or willful misconduct. 

d) Content and Information Disclaimer. MEOW SAFE DOES NOT WARRANT THAT THE OWNER’S SERVICES, INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THIS WEBSITE, THE OWNER’S SERVERS OR ELECTRONIC COMMUNICATIONS SENT FROM THE OWNER ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

e) Shipping and Risk of Loss. Unless stated otherwise on these Terms or elsewhere on the website, Meow Safe bears no liability for risk of loss for any goods sold on this website. Meow Safe’s sole shipping responsibility shall be to dispatch the goods to the designated shipper, and if requested, provide a shipping receipt to the purchaser. After Meow Safe has provided the goods as described on this website to the shipper, Meow Safe shall bear no further liabilities for the condition or arrival of the goods at destination after the goods as described have been taken into the custody of the shipper. 

f) Limitation on Disclaimers. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages or other disclaimers, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

You agree to indemnify, defend and hold harmless Meow Safe and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, your use or purchase of any products or Service from us via the website or otherwise,  your violation of any law or the rights of a third-party, or your negligence or willful misconduct in using any product or Service or otherwise.

SECTION 15 – SEVERABILITY

In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes. These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site. If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof). Notwithstanding the above, please note that these Terms shall apply unequivocally to all product purchases made via the website without exception, and whenever you purchase a product or Service via the website, you may not thereafter cancel or terminate your order unless permitted otherwise by Meow Safe or in any policy or communication made via the website. Further, after the purchase of a product or Service, you do not have the option to terminate the application of the Terms to any such product purchases you have made.

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of Victoria and Australia. You agree that all disputes arising out of your use of the Service or our products shall be exclusively resolved in the competent state or federal courts located within the State of Victoria, Australia, without the application of any conflict of laws provisions. Notwithstanding this Clause, Meow Safe may commence legal proceedings in any jurisdiction without restriction, for the purposes of enforcing these Terms and/or protecting their intellectual property rights.

All ideas, information, designs, images, titles, articles, content, patentable materials, patented ideas, trade names, copyrightable materials, trade secrets, trademarks, service marks, and any information, content or material contained on this website (“intellectual property”) is the sole intellectual property of the Meow Safe and their licensors, and such information may not be reused, duplicated, copied, licensed or sold to any third party without the express written consent of Meow Safe. No product or service sold on this website may be copied, duplicated, resold, reverse engineered or modified for sale in any form by a purchaser/user, and such products or services are only to be used for personal use. Any acts or omissions (“acts”) which violate the terms of this clause shall render the user or purchaser accessing this site responsible for such acts fully liable to Meow Safe upon demand, and such liabilities include lost profits/royalties, legal fees, attorney fees, and any costs incurred by Meow Safe in remedying the consequences of and preventing the acts in violation of this clause.
